End User License Agreement

This End User License Agreement ("EULA" or "Agreement") is a legal contract between you ("Licensee", "you") and us (the "Licensor", "we", "us") for the WA Auto Sender Studio Chrome extension, including any associated documentation, updates, and related materials (the "Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software.

This EULA is incorporated by reference into, and is supplemental to, our Terms of Service. In the event of any conflict, this EULA prevails with respect to the licensing of the Software.

1. License Grant

Subject to your continued compliance with this EULA and the Terms of Service, and conditioned upon your valid license key being active, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Install and use one (1) copy of the Software on the number of devices permitted by your plan (Pro: 1 device; Business: up to 5 devices); and
• Use the Software solely for your own internal business or personal communication purposes via WhatsApp Web, in accordance with the documentation and all applicable laws.

2. License Tiers

We may change plan features or limits at any time. Existing paid subscriptions will continue to receive the features included in their plan at the time of purchase, unless we provide prior notice as required by the Terms of Service.

3. License Restrictions

You may not, and may not permit any third party to:

• Copy, modify, adapt, translate, or create derivative works of the Software, in whole or in part, except as expressly permitted by this EULA or applicable law.
• Reverse engineer, decompile, or disassemble the Software, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
• Rent, lease, sublicense, distribute, publish, or otherwise transfer the Software or any rights under this EULA to any third party.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Software.
• Use the Software to provide commercial services to third parties (e.g., as a bureau, agency, or managed service) without our prior written consent.
• Use the Software in any way that violates applicable law, the WhatsApp Terms of Service, or our Terms of Service.
• Circumvent, disable, or otherwise interfere with any license-management, security, or anti-tampering features of the Software.

4. Ownership

The Software is licensed, not sold. We and our licensors retain all right, title, and interest (including all intellectual property rights) in and to the Software and any copies, modifications, or derivative works thereof. All rights not expressly granted to you in this EULA are reserved by us.

5. License Key, Activation, and Devices

• To use paid features, you must enter a valid license key issued by us. The license key is personal to you and is delivered to the email address you provided at checkout.
• The Software periodically validates the license key against our backend. An active internet connection is required for paid tiers.
• Each license may be activated on the number of devices specified by your plan. Activation is tied to an anonymous device ID generated by the Software.
• You may deactivate a device at any time via your account dashboard to free up an activation slot.
• Sharing your license key or attempting to circumvent the device limit is a material breach of this EULA and may result in immediate termination of your license without refund.

6. Updates

We may, from time to time, provide updates, upgrades, patches, or new versions of the Software ("Updates"). Updates may be installed automatically or with your explicit consent, depending on your Chrome settings. Updates are governed by this EULA unless accompanied by separate terms, in which case those separate terms will apply.

7. Term and Termination

This EULA is effective from the date you install the Software and continues until terminated. It will automatically terminate if you breach any provision of this EULA or the Terms of Service. We may also terminate this EULA in accordance with the suspension and termination provisions of the Terms of Service.

Upon termination:

• The license granted to you will immediately cease.
• You must stop using and uninstall the Software.
• You may not be entitled to a refund, except as expressly provided in the Terms of Service.

Sections that by their nature should survive termination (including but not limited to Ownership, Disclaimer of Warranty, Limitation of Liability, Indemnification, and Governing Law) will survive.

8. Open-Source Components

The Software may include third-party open-source components, which are licensed under their respective open-source licenses. Those licenses control solely with respect to the corresponding open-source components and do not extend to the proprietary portions of the Software.

9. Disclaimer of Warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, FREE OF HARMFUL COMPONENTS, OR THAT IT WILL MEET YOUR REQUIREMENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE, OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY) ARISING OUT OF OR RELATING TO THIS EULA OR THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THIS EULA WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) USD 50. NOTHING IN THIS EULA EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

11. Indemnification

You agree to defend, indemnify, and hold us harmless from any claim, demand, action, or proceeding brought by a third party arising out of or related to your use of the Software, your violation of this EULA, the Terms of Service, or any applicable law, in accordance with the indemnification provisions of the Terms of Service.

12. Export and Sanctions Compliance

You represent and warrant that you are not located in, under the control of, or a national or resident of any country or region subject to sanctions or export restrictions, and that you are not on any list of prohibited or restricted parties. You agree to comply with all applicable export and re-export control laws and regulations.

13. Governing Law and Dispute Resolution

This EULA is governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with this EULA will be resolved in accordance with the dispute resolution provisions of the Terms of Service.

14. Miscellaneous

• Entire Agreement: This EULA, together with the Terms of Service and the Privacy Policy, constitutes the entire agreement between you and us with respect to the Software and supersedes all prior or contemporaneous communications on the same subject matter.
• Severability: If any provision of this EULA is held by a court of competent jurisdiction to be invalid or unenforceable, such provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.
• No Waiver: Failure or delay by us to exercise any right or remedy under this EULA will not constitute a waiver of that right or remedy.
• Assignment: You may not assign or transfer this EULA or any of your rights or obligations under it without our prior written consent. We may assign this EULA without restriction.
• Headings: Section headings are for convenience only and have no legal effect.
